However, during initial assessment, we cannot accept outside ideas on a confidential basis, or agree to hold in confidence any outside ideas, proposals, device or product concepts, or similar materials.

If you have not already, we strongly encourage you to seek legal advice and secure patent protection for your innovation. We prefer to evaluate ideas covered by a published patent application or granted patent. If your patent has been filed but has not yet published, please consider waiting to submit your idea until it has. We are willing to assess an idea at an earlier stage as long as you, as the submitter, agree to the Conditions of Submission outlined below. This ensures that there is no misunderstanding during the initial assessment.

The Conditions of Submission apply to all companies within the Trudell Medical group of companies including Trudell Medical Limited and its affiliates Trudell Medical International Inc., Trudell Healthcare Solutions Inc., ProResp Inc., Monaghan Medical Corporation, Jaeger Medical America Inc., Jeager Medical GMBH, Northgate Technologies Inc., and Aetonix Systems Inc. If you choose to submit an outside idea or other information via this portal, then by making the submission, you agree to the following Conditions of Submission, regardless of any contrary statements accompanying your submission.

CONDITIONS OF SUBMISSION

The Conditions of Submission apply to the information you submit via the form below and all disclosures, regardless of form, made by you to us which are incidental to or relate directly or indirectly to the Idea Submission.
Your Idea Submission is on a non-confidential basis, gratuitously and without expectation of compensation. You accept that no confidential relationship is to be established by such an Idea Submission or implied from our evaluation or consideration of the Idea Submission. We are free to evaluate and consider the Idea Submission without obligation to you.
Your Idea Submission does not grant any rights to us under existing or future patents. The evaluation and consideration of your Idea Submission by us will not in any way impair your right to contest the validity or infringement of any patent that may have been or may thereafter be obtained on it. Your sole remedy, if you believe we infringe on such patent, will be the enforcement by you under the applicable patent laws of such exclusive rights as you may possess by virtue of your patent.
You will give the Idea Submission only such consideration as in the judgment of us that it merits. You are under no obligation to reveal your actions to us in connection with the Idea Submission, to enter into any business relationship with us, or to give us reasons for deciding not to pursue a business relationship or negotiations with respect to the Idea Submission.
Entering into negotiations with us for the purchase or licensing of the Idea Submission, or the making of any offer to purchase or license the Idea Submission by us, will not in any way prejudice us, nor will it be deemed an admission of the novelty of the Idea Submission, or of priority or originality on your part or of any other person.
Any or all prior negotiations or agreements, whether oral or in writing, relating in any way to your Idea Submission are merged into these Conditions of Submission, and no prior representations, negotiations, agreements, whether oral or in writing, will be binding on you or of any force. You confirm that you are not relying on any representations, promises, agreements, including any collateral agreements, whether oral or in writing, not expressly set forth in these Conditions of Submission.
You warrant to us that you have the legal right to make the Idea Submission as contemplated herein to us.
These Conditions of Submission may not be modified or waived except if in writing signed by you and an Officer of the Trudell Medical Group.
You confirm that you have been given the opportunity to seek independent legal advice with respect to these Conditions of Submission.
